These Subscription Plan Terms (“Subscription Terms”) govern and apply to all recurring subscription purchases of PicoIV products (“Products”) offered through picoiv.com. By enrolling in, purchasing, or using a subscription, you (“Subscriber,” “you”) agree to be legally bound by these Subscription Terms, together with our Terms & Conditions, Privacy Policy, and Disclaimer (collectively, the “Agreement”).
If any provision of these Subscription Terms conflicts with the Terms & Conditions, these Subscription Terms shall control solely with respect to the subscription program
1. Eligibility
1.1 Subscriptions are available exclusively to licensed and registered healthcare providers authorized to purchase, prescribe, administer, or dispense PicoIV products.
1.2 By subscribing, you represent and warrant that you are duly licensed, in good standing, and will comply with all applicable federal, state, and local laws, regulations, and ethical standards.
1.3 We reserve the right, in our sole discretion, to verify eligibility and to refuse, suspend, or terminate any subscription for any reason, including but not limited to non-compliance with these Subscription Terms or regulatory requirements.
2. Subscription Plans & Automatic Renewal
2.1 We offer recurring subscription plans at the following intervals and discounts:
- Monthly Subscription – 20% discount, billed every 1 month.
- Bi-Monthly Subscription – 15% discount, billed every 2 months.
- Quarterly Subscription – 10% discount, billed every 3 months.
2.2 Automatic Renewal Acknowledgment: By enrolling, you expressly agree and acknowledge that your subscription will automatically renew at the end of each billing cycle unless canceled in strict accordance with Section 5.
2.3 By placing a subscription order, you authorize PicoIV to charge your designated payment method on a recurring basis for the applicable subscription price, shipping fees, taxes, and any other charges incurred in connection with your account.
3. Minimum Commitment (2-Rebill Requirement)
3.1 All subscriptions are subject to a mandatory two (2) billing cycle minimum (“2-Rebill Minimum”).
3.2 Subscriptions may not be canceled until the Subscriber has completed at least two billing cycles.
3.3 Cancellation requests submitted prior to fulfillment of the 2-Rebill Minimum shall be deemed void and unenforceable.
4. Billing, Payment & Taxes
4.1 Subscription fees are due and payable in advance of each billing cycle.
4.2 You authorize PicoIV to store your payment credentials and to automatically process charges at each renewal interval.
4.3 You are solely responsible for ensuring that all billing information remains current. Failed or declined transactions may result in suspension or termination.
4.4 All fees are stated in U.S. Dollars and are exclusive of applicable taxes, which will be added as required by law.
5. Cancellation & Modifications
5.1 After satisfaction of the 2-Rebill Minimum, you may cancel by providing notice via support@picoiv.com or (855) 900-0020. Cancellations are effective at the conclusion of the then-current billing cycle.
5.2 No partial refunds or credits will be issued for unused portions of a billing cycle.
5.3 Plan modifications (e.g., changing frequency) may be requested through customer support. Changes take effect beginning with the next billing cycle.
5.4 PicoIV reserves the absolute right to deny cancellations or modifications that do not comply with these Subscription Terms.
6. Shipping & Delivery
6.1 Subscription shipments will be fulfilled via UPS Overnight Saver within the United States.
6.2 Title and risk of loss pass upon delivery by the carrier.
6.3 PicoIV is not liable for delays, losses, or damages caused by carriers, customs, acts of God, labor disputes, natural disasters, pandemics, or other circumstances beyond its control (“Force Majeure”).
7. Product Use & Compliance
7.1 Products are intended solely for administration by licensed healthcare professionals and must not be resold or diverted.
7.2 Subscriber bears full responsibility for ensuring Products are stored, handled, and administered in compliance with applicable medical, FDA, HIPAA, and state regulations.
7.3 PicoIV disclaims all liability arising from improper or unauthorized use of Products.
8. Privacy, HIPAA & Data Security
8.1 All collection and processing of data are governed by our Privacy Policy.
8.2 To the extent that protected health information (“PHI”) is provided in connection with a subscription, PicoIV will implement reasonable administrative, physical, and technical safeguards consistent with the Health Insurance Portability and Accountability Act of 1996 (HIPAA).
8.3 Subscriber agrees not to transmit unnecessary PHI through picoiv.com, email, or other unsecured channels.
9. Modifications to Terms, Pricing & Services
9.1 PicoIV reserves the unrestricted right to modify, suspend, or discontinue any aspect of the subscription program, including pricing, frequency options, and eligibility criteria.
9.2 Subscribers will receive advance notice of material changes by email or posting to the site. Continued participation constitutes acceptance of revised terms.
10. Disclaimers & Limitation of Liability
10.1 Products are provided strictly “as is” and “as available” without warranty of any kind, whether express or implied.
10.2 PicoIV products have not been evaluated by the Food and Drug Administration and are not intended to diagnose, treat, cure, or prevent any disease.
10.3 To the maximum extent permitted by law, PicoIV shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to subscriptions or use of Products.
11. Indemnification
You agree to indemnify, defend, and hold harmless PicoIV, its affiliates, officers, directors, employees, and agents from and against all claims, liabilities, damages, costs, and expenses (including attorneys’ fees) arising out of or related to:
- your breach of these Subscription Terms;
- your misuse of the Products;
- your violation of applicable laws or regulations.
12. Governing Law; Dispute Resolution
12.1 These Subscription Terms are governed by the laws of the State of California, without regard to conflicts of law principles.
12.2 Any disputes shall be resolved exclusively in the state or federal courts located in Sacramento County, California.
12.3 Class Action Waiver: You agree to resolve disputes only on an individual basis and waive any right to participate in a class, collective, or representative action.
13. Miscellaneous
13.1 Severability: If any provision is held invalid, the remaining provisions shall remain enforceable.
13.2 Survival: Sections relating to indemnification, disclaimers, limitations of liability, and governing law shall survive termination.
13.3 Entire Agreement: These Subscription Terms, together with the incorporated policies, constitute the entire agreement between you and PicoIV regarding subscriptions. No oral statements or prior writings shall alter their effect.
13.4 Waiver: Failure by PicoIV to enforce any right shall not constitute a waiver of future enforcement.
